Terms of Use

1. Who We Are

TOT STUDIO LABS SRL is a company registered in the Republic of Moldova, mun. Chișinău, sec. Centru, str. Drumul Viilor, which develops and provides the TOT Sites website and digital services platform, as well as related digital services.

2. Services We Provide

• Custom website and digital product development.
• TOT Sites platform subscription — a ready-made solution for a website, online booking, order acceptance and customer account, hosted on TOT's infrastructure.
• IT outsourcing and technical support.
• SEO promotion and SMM advertising.
• AI production and process automation.

The specific scope of services, pricing and timelines are set out in the service agreement or a confirmed order (offer) sent to the client separately.

3. Registration and Account

• To use the TOT Sites platform, you must create an account and provide accurate information about yourself and your company.
• You are responsible for keeping your login and password secure and for all actions performed under your account.
• Any suspicion of unauthorized access to your account must be reported to TOT immediately.

4. Payment and Pricing

• The cost of services is specified in the pricing, commercial proposal or invoice and does not include VAT unless stated otherwise.
• Payment is accepted by bank transfer or by card through the MAIB Business payment provider.
• The TOT Sites platform subscription renews automatically for the next period unless the client cancels it in advance through the personal account.
• In case of late payment, TOT may suspend access to the platform until the debt is settled, having notified the client in advance.
• Services already rendered and active subscription periods are non-refundable unless otherwise provided by the agreement or by law.

5. Intellectual Property

• The TOT Sites platform, its source code, design system and templates are the property of TOT STUDIO LABS SRL. The client is granted a limited, non-transferable license to use the platform for the term of the subscription.
• Custom development created under a separate bespoke agreement becomes the client's property to the extent and under the terms agreed in that agreement, after full payment.
• Trademarks, logos and content uploaded by the client (texts, photos, service names) remain the client's property; the client grants TOT the right to display them on the client's website as part of providing the services.

6. Client Content and Data

The client is solely responsible for the legality of the content and data it publishes on its website through the TOT Sites platform, including the data of its own customers. TOT does not review or moderate such content, except in cases of a clear violation of the law or these Terms.

The processing of personal data that the client collects through the platform is governed by a separate Data Processing Agreement (DPA).

7. Obligations of the Parties

• TOT undertakes to provide the services in good faith, provide technical support, and inform the client of planned maintenance in advance.
• The client undertakes to provide accurate information, pay for services on time, and not use the platform for illegal activity, spam distribution, or infringement of third-party rights.
• It is prohibited to use the platform for activities that violate the legislation of the Republic of Moldova, including fraud and the sale of prohibited goods and services.

8. Service Availability

TOT makes reasonable efforts to ensure the platform runs without interruption, but does not guarantee uninterrupted operation. Planned maintenance is carried out with prior notice whenever possible. Specific availability metrics (SLA) may be agreed separately for corporate clients.

9. Limitation of Liability

To the fullest extent permitted by law, TOT is not liable for indirect damages, lost profits or loss of client data not caused by TOT's fault. TOT's total liability to the client under any claim is limited to the amount paid by the client for services over the 3 months preceding the event that caused the damages.

10. Term and Termination

• The client may cancel the platform subscription at any time through the personal account; access remains available until the end of the paid period.
• TOT may suspend or terminate the client's access in case of a material breach of these Terms, including late payment, after written notice.
• After access is terminated, TOT gives the client a reasonable period (at least 14 days) to export their data, after which the data may be deleted.

11. Force Majeure

The parties are released from liability for failure to perform their obligations if caused by force majeure circumstances (natural disasters, military actions, actions of government authorities, failure of power or internet supply systems) that the parties could not foresee or prevent.

12. Governing Law and Disputes

These Terms are governed by the legislation of the Republic of Moldova. Disputes shall be resolved through negotiation, and if no agreement is reached — in the courts of the Republic of Moldova at the location of TOT STUDIO LABS SRL.

13. Changes to These Terms

TOT may amend these Terms. The current version is always available on this page with the effective date indicated. We notify existing platform clients by email at least 14 days in advance of any material changes affecting them.
